COPYRIGHT AGREEMENT FOR RESELLING DIGITAL PRODUCTS

ZeeshanStore.com (hereinafter referred to as the "Licensor"), a business entity with its principal place of business at Plot no.367,Khairbari,Sulkapara,Nagrakata,Jalpaiguri,West Bengal, India.

WHEREAS, the Licensor owns and operates zeeshanstore.com, which offers digital products for resale (the "Products"); and

WHEREAS, the Reseller desires to resell certain digital products from ZeeshanStore.com and the Licensor agrees to grant the Reseller the rights to do so under the terms and conditions set forth in this Agreement;

Now, therefore, in consideration of the mutual promises and covenants set forth herein, the parties agree as follows:

1. Grant of License

The Licensor grants the Reseller a non-exclusive, non-transferable license to resell certain digital products made available by ZeeshanStore.com, as specified in the resell agreement or product list provided by the Licensor. This license is subject to the terms and conditions outlined in this Agreement.

2. Scope of Rights

• The Reseller is authorized to resell the digital products in the form provided by the Licensor (e.g., files, downloads, etc.).
• The Reseller is prohibited from altering, modifying, or distributing the products in any other format without express written permission from the Licensor.
• The Reseller may market and promote the digital products through online or offline channels, including but not limited to websites, email marketing, and social media platforms.

3. Copyright Ownership

• The Licensor retains all intellectual property rights, titles, and interests in the digital products.
• The Reseller acknowledges and agrees that no ownership rights to the digital products are transferred under this Agreement.
• The Reseller shall not claim ownership or authorship of the products in any way.

4. Reseller Obligations

The Reseller agrees to:

• Use the digital products solely for the purpose of resale under the terms of this Agreement.
• Ensure that all marketing and sales efforts comply with applicable laws, including copyright, trademark, and consumer protection laws.
• Provide proper credit to the Licensor as the original source of the digital products in any promotional or advertising materials.

5. Payment Terms

• The Reseller shall pay the Licensor an agreed-upon price for the digital products or a percentage commission on the sale of each digital product, as specified in the separate agreement or invoice.
• Payments for the products will be made one time, and the file is available in members panel.

6. Term and Termination

• This Agreement shall commence on the effective date of the products purchased.
• Acceptance of Terms, If you do not accept these terms, please refrain from accessing or using the ZEESHANSTORE.COM website. Your use of the ZEESHANSTORE.COM website constitutes your acceptance and agreement to abide by these terms and our Privacy Policy, whether you decide to become a subscriber or not.
• Upon termination, the Reseller shall immediately cease selling and distributing the digital products and remove all marketing materials associated with the products from public view.
• Please note that ZEESHANSTORE.COM reserves the right to update or modify these terms and conditions at any time without prior notice. The revised terms will be effective immediately upon posting on our website. By continuing to use ZEESHANSTORE.COM after any such changes, you acknowledge and agree to abide by the updated terms.

7. Confidentiality

The Reseller agrees to maintain the confidentiality of any proprietary or confidential information provided by the Licensor, including pricing structures, product details, and marketing strategies.

8. Indemnification

The Reseller agrees to indemnify, defend, and hold harmless the Licensor from any and all claims, losses, liabilities, and expenses arising out of the Reseller’s use or resale of the digital products, including but not limited to intellectual property infringement claims.

9. Limitation of Liability

The Licensor's liability to the Reseller for any claims arising out of this Agreement, including those arising from the use of the digital products, shall be limited to the total amount paid by the Reseller to the Licensor for the product in question.

10. Governing Law and Dispute Resolution

Agreement shall be governed by and construed in accordance with the laws of [Kolkata Jurisdiction, e.g., "the state of West Bengal, India"], without regard to its conflict of law principles.

11. Miscellaneous

• Amendments: This Agreement may be amended or modified by the owner during regular intervals.
• Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full effect.
• Entire Agreement: This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, oral or written, related to the subject matter of this Agreement.
• Age Criteria: You must be at least 18 years old or of legal age to enter into a contract to become a Subscriber or Member. If you are under 18 years old, you must obtain permission from a parent or legal guardian who is at least 18 years of age, and they will be responsible for all your activities on the website.
• Account Responsibility: You are responsible for providing true, accurate, and complete information when registering with us, and you must keep your account information up to date, including your current email address. Your account is non-transferable. You are solely responsible for any activities that occur under your username and password. Therefore, keep your password secure and do not share it with anyone else. If you suspect any unauthorized use of your password or account, please notify us immediately for prompt action on security matters.
